Shareholder Proposals
Item 5
G
Allow stockholders holding 10% of outstanding common stock to call a special meeting without a minimum holding period.
The proposal requests that AMD amend its governing documents to permit holders of 10% of outstanding common stock (or the lowest percentage allowed by state law) to call a special stockholder meeting and for that meeting to be allowed to take place virtually. It also asks that there be no minimum ownership duration requirement to participate in calling a special meeting. The proponent argues this change would give stockholders a more practical tool to prompt Board action on urgent matters, citing executive compensation concerns and historical support for similar proposals at other companies. The proposal emphasizes that special meetings are rarely used even when the right exists and that online meetings make convening less burdensome.
