Shareholder Proposals
Item 6
Amend governing documents to allow shareholders owning a combined 10% of outstanding common stock to call a special shareholder meeting.
This shareholder proposal requests that the board amend Arrow’s governing documents to permit shareholders who collectively own at least 10% of the company’s outstanding common stock to call a special shareholder meeting, and that such meetings be permitted to be held online. The proposal also asks that there be no ownership holding-period requirement (no "poison pill" style restriction) for shares to qualify to participate in calling the meeting. The supporting statement cites examples of similar proposals at other companies and argues that special meetings are rarely used and can help address board complacency by enabling shareholders to force consideration of urgent or extraordinary matters. If adopted, the board would be asked to take the steps necessary to implement the right through appropriate amendments to the company’s governance documents.
