Shareholder Proposals

Item 4
G
Allow shareholders holding the minimum votes required to act by written consent without ownership-duration or holding-method restrictions.

The proposal requests that United’s board adopt a written-consent right allowing shareholders who hold the minimum number of votes required to authorize corporate action (the same number that would be required at a meeting where all shares are represented) to take action by written consent, without additional restrictions based on length of ownership or how shares are held. It asks that shareholders be able to initiate any appropriate topic for written consent, that any record-date request use the lowest allowable figure, and that written-consent procedures not include solicitation clauses requiring a set percentage of solicitation unless legally required. The proponent argues this would provide an additional, timely mechanism—alongside special meetings—to enable shareholder-initiated proposals and could increase accountability of directors. The proposal notes an existing special-meeting right at United excludes shares held for less than one year and contends that written-consent rights would be especially important given that limitation.
