Report annual meeting vote results based on UHS shareholder money at risk.
Request that the company, in addition to its usual vote reporting, publish annual meeting vote results for each item presented on the basis of the shareholders' money at risk (i.e., weighting votes by economic exposure rather than solely by voting power). The proposal highlights the company’s dual-class structure where officers and directors reportedly control a disproportionate share of voting power relative to their economic ownership and argues that parallel reporting by money at risk would make divergences between economic interests and voting outcomes transparent. Request that the Board adopt a policy requiring public disclosure of workforce diversity metrics, which may include a breakdown of employees by race, ethnicity and gender and retention rates by those categories, and may include disclosure of the Company’s consolidated EEO-1 report. The proposal notes investor demand for standardized human capital data to assess workforce management, retention risks and inclusion efforts, highlighting the Company’s large workforce (approximately 86,000 U.S. and 13,000 U.K. employees) and industry-wide staffing pressures. Proponents argue that such reporting is cost‑effective, improves comparability with peers and helps investors evaluate implementation of diversity and retention commitments. The request asks the Company to prepare the report at reasonable cost while omitting proprietary or legally sensitive information.
