Shareholder Proposals
Item 5
Disclose recipients and amounts of corporate contributions and expenditures used to influence elections and candidates.
Request that the company publish a periodic report identifying recipients and dollar amounts of contributions or expenditures made from corporate funds that are intended to support or oppose candidates or otherwise influence elections or referenda. The proposal explicitly excludes lobbying spending and contributions by Charter’s employee political action committees, and it asks for disclosure of payments to trade associations and tax-exempt organizations that may be used for electoral purposes. The proponent cites regulatory risk and peer-company reporting as rationale, arguing that increased transparency would help investors assess how political spending aligns with company strategy and regulatory exposure. The requested report is limited to electoral intervention and does not seek to change current lobbying disclosures.
